These Terms of Service (“Terms”) are a binding agreement between [Legal Entity Name], doing business as “BDRelay” (“BDRelay,” “we,” “us,” or “our”), and the business or person that uses our services (“you” or “Customer”). By accessing our website, requesting setup, or using the BDRelay service, you agree to these Terms.

1. Acceptance of these terms

By using the BDRelay service you confirm that you have read, understood, and agree to be bound by these Terms and by any policies referenced here, including our Privacy Policy and Acceptable Use Policy. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization.

2. The BDRelay service

BDRelay provides software and setup services that help businesses accept online card payments through a white-labeled, hosted checkout that is built on and powered by Stripe. We configure and manage the checkout experience on your behalf. We are a technology and services provider — we are not a bank, money transmitter, or payment processor, and we do not take custody of your funds.

Payment processing, card data handling, fraud screening, and payouts are performed by Stripe, Inc. and its affiliates (“Stripe”) through a Stripe connected account established in your business’s name.

3. Eligibility

To use BDRelay you must be at least 18 years old, operate a lawful business, and be able to form a binding contract. You must not use the service if you or your business are barred from doing so under applicable law, or are engaged in a prohibited business or activity described in our Acceptable Use Policy.

4. Accounts and information

You agree to provide accurate, current, and complete information during setup and to keep it up to date. This includes information required for identity verification and “know your customer” checks that we and Stripe are legally required to perform. You are responsible for maintaining the security of any credentials associated with your account and for all activity that occurs under it.

5. Payment processing and Stripe

Payment processing services are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the “Stripe Agreement”). By using BDRelay to accept payments, you agree to the Stripe Agreement, as it may be modified by Stripe from time to time. As a condition of BDRelay enabling payment processing through Stripe, you agree to provide accurate and complete information about you and your business, and you authorize BDRelay to share it with Stripe.

Your relationship with Stripe for payment processing is governed by the Stripe Agreement. Stripe, not BDRelay, is responsible for the processing of payments and the movement of funds. BDRelay is not liable for the acts or omissions of Stripe.

6. Fees and payouts

BDRelay charges a platform fee, described on our website or in your setup agreement, that is calculated as a percentage of each successful transaction. Our platform fee is charged in addition to Stripe’s own processing fees, which are set by Stripe. Fees are deducted automatically from each transaction; the remaining balance is paid out to your connected account and bank account on the payout schedule that applies to your account.

We may change our fees prospectively by giving you reasonable prior notice. Continued use of the service after a fee change takes effect constitutes acceptance of the new fees. Except where required by law, fees already charged are non-refundable.

7. Your responsibilities

  • You are solely responsible for the products and services you sell and for fulfilling your obligations to your customers.
  • You are responsible for the accuracy of prices, descriptions, tax collection, and any refunds you offer.
  • You must comply with all applicable laws, card network rules, and the Acceptable Use Policy.
  • You must not use the service to process payments that are unrelated to your own bona fide sale of goods or services.

8. Refunds, chargebacks and disputes

Refunds to your customers are issued from your connected account and are your responsibility. You are responsible for chargebacks, reversals, and related fees arising from your transactions, including any amounts Stripe deducts or claws back. BDRelay’s platform fee on a transaction may be non-refundable even where the underlying transaction is refunded or charged back, except where required by law or expressly stated otherwise.

9. Intellectual property

BDRelay and its licensors own all rights in the BDRelay software, website, and related materials. We grant you a limited, non-exclusive, non-transferable right to use the service during the term of these Terms solely for your internal business purposes. You retain all rights in your own brand assets, content, and data, and you grant us a limited license to use them as needed to provide and configure the service.

10. Term and termination

These Terms apply for as long as you use the service. You may stop using the service and request termination at any time; there is no fixed contract term and no cancellation fee. We may suspend or terminate your access if you breach these Terms or the Acceptable Use Policy, if required by Stripe or a card network, or if we reasonably believe your use creates legal, security, or fraud risk.

Upon termination, your right to use the service ends, but your Stripe connected account and transaction history remain subject to the Stripe Agreement. Provisions that by their nature should survive termination (including fees owed, disclaimers, limitations of liability, and indemnities) will survive.

11. Disclaimer of warranties

The service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that it will meet your requirements.

12. Limitation of liability

To the maximum extent permitted by law, BDRelay and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the service. Our total aggregate liability for any claim arising out of or relating to these Terms or the service will not exceed the total platform fees you paid to BDRelay in the three (3) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless BDRelay and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the service, your products or services, your violation of these Terms or the Acceptable Use Policy, or your violation of any law or the rights of a third party.

14. Governing law and disputes

These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules. The parties agree to the exclusive jurisdiction of the state and federal courts located in [County, State] for any dispute not subject to arbitration. Where permitted, the parties agree to attempt in good faith to resolve any dispute informally before filing a claim, and to resolve disputes on an individual basis rather than as part of a class action.

15. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on our website and updating the “Last updated” date above. Changes take effect when posted unless stated otherwise. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.
